Quantaste - Quant Platform for Investors

1) Requirements and acceptance

1.1. To use the Services you must be at least 18 years old and have full legal capacity. By using the Services you accept the Terms as in force from time to time.

1.2. If you access the Services on behalf of a company or organisation, you represent that you have the authority to bind that entity to the Terms; otherwise you will be personally liable.

2) Changes to the Terms and the Services

2.1. We may modify the Terms at any time by posting the updated version on our channels. Continued use of the Services constitutes acceptance of the changes.

2.2. We may modify, suspend or discontinue all or part of the Services (including content, algorithms, availability, plans, pricing, free trials), with or without notice, without incurring any liability towards the User.

3) Nature of content – no financial advice

3.1. Quantaste is an informational and quantitative platform. Data, scores (e.g. Smart Quant), rankings, dashboards, reports, news and other content are provided for informational and educational purposes only, do not take into account your personal situation and do not constitute financial, legal or tax advice or personalised recommendations. Quantaste is not a registered financial adviser or broker.

3.2. Information may be based on public or third-party data and proprietary algorithms; it may contain errors, inaccuracies, incomplete or outdated data, and may be subject to change without notice. Past performance is not indicative of future results.

3.3. You are solely responsible for your decisions; before investing, consult a qualified professional and conduct your own independent due diligence.

3-bis) "Portfolios" feature and rebalancing

3-bis.1. Service description.

The "Portfolios" section of the Quantaste Services allows the User to view, for informational and educational purposes, quantitative asset allocation models, Smart Quant scores, simulated automatic rebalancing, and the hypothetical performance of certain assets or investment categories.

Such Portfolios, including any rebalancing notifications or suggestions, are statistical and algorithmic outputs generated automatically by the Quantaste system based on historical, macroeconomic, technical, seasonal and fundamental data.

3-bis.2. Exclusively informational purpose.

The Portfolios do not in any way constitute financial advice, solicitation of public savings, personalised recommendation or investment offer within the meaning of applicable regulations (MiFID II, EU Regulation 2014/65 and subsequent amendments).

The information displayed — including allocation percentages, portfolio examples, rebalancing signals or financial instrument names — must not be interpreted as operational instructions or buy/sell suggestions for equities, ETFs, bonds or other financial instruments.

3-bis.3. No personalisation.

The Portfolios proposed by Quantaste are standardised models, generated impersonally and independently of the User's profile, risk tolerance, time horizon, financial situation or investment objectives.

Quantaste does not profile the User for the purpose of determining the suitability or appropriateness of the information provided.

3-bis.4. User responsibility.

The User acknowledges and accepts that every investment or divestment decision is their sole personal responsibility.

Quantaste, Quantaste S.r.l., its directors, employees, collaborators and suppliers are in no way liable for:
(a) investment decisions or strategies adopted on the basis of the Portfolios or their rebalancing;
(b) any direct or indirect financial losses arising from such decisions;
(c) erroneous, incomplete or subjective interpretations of Portfolio content.

3-bis.5. Data limits and variability.

The projections, simulations and scores presented in the Portfolios are based on historical data and algorithms subject to updates, changes and possible calculation errors. Past performance does not guarantee future results. Quantaste may modify or discontinue at any time the composition or availability of the Portfolios, without notice and without incurring any liability.

3-bis.6. Permitted use.

The User undertakes to use the information in the Portfolios exclusively for informational and learning purposes.

Any reproduction, sharing, publication or distribution of Portfolio content without Quantaste's written authorisation is prohibited.

3-bis.7. Reference to general limitations.

All disclaimers, liability limitations and warranty exclusions set out in these Terms and Conditions — including the articles on "No financial advice", "Limitation of liability" and "Indemnification" — apply in full and by extension to the "Portfolios" feature.

4) Registration, account and security

4.1. Access to certain features requires creating an account; you must provide accurate and up-to-date information and protect your credentials. You are responsible for all activity under your account and must notify us immediately of any unauthorised access.

4.2. We may restrict, suspend or close the account, at our discretion, in the event of: breach of the Terms or applicable law; misuse; non-payment; authority request; or risks to service security or operation.

5) Limited licence and permitted use

5.1. We grant you a personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Services solely for personal, non-commercial purposes, in compliance with the Terms.

5.2. Institutional/professional use. Any business, professional or commercial use — including by advisers, portfolio managers or investment companies — requires a separate written agreement (e.g. enterprise licence). We may determine at our sole discretion the nature of your use and reconfigure/suspend access if deemed unauthorised "institutional use".

5.3. Prohibited conduct. Unless expressly authorised in writing, it is forbidden to:

(a) copy, publish, reproduce, extract, bulk-download, distribute, translate, adapt, create derivative works, display or transmit content/data/scores/algorithms;
(b) reverse engineer, decompile, circumvent or bypass technical protection measures;
(c) resell, rent, lend, or share accounts or content;
(d) use bots, scripts, crawlers, plugins or other automated means to access, monitor or extract data;
(e) scrape or build external databases based on Service content;
(f) remove copyright, trademark or other rights notices;
(g) upload or distribute malicious code or unlawful or harmful content;
(h) impersonate others, infringe third-party rights, or communicate confidential or non-public information;
(i) manipulate the layout or integrity of rankings/scores, or reprocess/reorder them for additional analysis without authorisation;
(j) use the Services in jurisdictions where use is unlawful or subject to regulatory requirements falling on Quantaste.

5.4. Fair use and technical limits. We may apply reasonable limits to page views, API calls, downloads or other usage metrics to preserve service stability and quality.

6) Intellectual property

6.1. The Services, software, databases, algorithms (including Smart Quant), scores, text, graphics, logos, trademarks, layouts and all content are the exclusive property of Quantaste or its licensors and are protected by applicable law. No rights are transferred to the User beyond the limited use licence described above.

6.2. Using Quantaste's trademarks, names or distinctive signs without our written consent is prohibited.

7) Plans, trial, pricing, renewals and refunds

7.1. Free trial. A free trial may be offered (one per User/household/company), with duration and conditions specified at activation.

7.2. Subscriptions. Paid Services are provided on a subscription basis; renewals are automatic at the end of the current period, unless you cancel before renewal, charged to the payment method on file.

7.3. Pricing and changes. We may modify prices, plans and promotions; where required, we will give you reasonable prior notice.

7.4. Cancellation and refunds. You may cancel at any time from your account settings; unless otherwise required by law or under specific promotional terms, no pro-rata partial refunds are provided. The 14-day "satisfaction or refund" guarantee from the initial subscription remains in force: within that period you may request a full refund. After that period, any refunds are at our discretion.

8) Third parties and integrations

8.1. The Services may include third-party content, data or components; we may also use external payment providers. Their respective terms and privacy policies govern your relationship with those parties. We are not responsible for third-party content or practices.

8.2. Portfolio/financial data synchronisation. Where we make available synchronisation with external accounts/portfolios via third-party providers, activation will occur only upon your explicit request and authorisation; we may process anonymised and aggregated data for statistical and service-improvement purposes, without being able to access or dispose of your funds or instruments.

9) Privacy and data

9.1. The processing of personal data is governed by our Privacy Policy (GDPR), which forms an integral part of these Terms.

9.2. We may process anonymised and non-identifiable data (e.g. average sector distribution, most-followed assets) for statistics, security, product development and communication to third parties in anonymous and aggregated form.

9.3. We do not sell personal data; any transfers outside the EEA will be made with appropriate safeguards (e.g. SCCs).

10) Disclaimer of warranties

10.1. The Services are provided "as is" and "as available", without express or implied warranties (including, without limitation, fitness for a particular purpose, continuity, error-free operation, accuracy or non-infringement).

10.2. We do not warrant that the Services will be uninterrupted, secure, virus-free or error-free, or that information will be correct, complete or up to date.

10.3. We may discontinue coverage of any market/asset/feature at any time, without obligation to the User.

11) Limitation of liability

11.1. Exclusive remedy. If you are dissatisfied, your sole remedy is to stop using the Services and cancel your account.

11.2. Exclusion of indirect damages. To the maximum extent permitted by law, we are not liable for indirect, special, incidental, punitive or consequential damages (including loss of profits, data, goodwill or business interruption).

11.3. Liability cap. In any event, our total aggregate liability to you shall not exceed the amount you have paid for the Services in the 12 months preceding the event giving rise to the claim.

11.4. The limitations apply regardless of the legal theory (contract, tort, strict liability, etc.) and even if we were advised of the possibility of such damages. Some jurisdictions do not allow certain exclusions or limitations; in such cases the maximum permitted limitation will apply.

12) Indemnification

You agree to indemnify and hold harmless Quantaste, its directors, employees, partners and licensors from any claim, cost or damage (including reasonable legal fees) arising from: your misuse of the Services; breach of the Terms; infringement of third-party rights; or content and data provided by you.

13) Suspension, termination and survival

13.1. We may suspend or terminate your access without notice if we determine that you have breached the Terms or applicable law, or that there is a risk to the service or to third parties.

13.2. Sections that by their nature should survive termination (including, without limitation, Intellectual Property, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, General Provisions) shall continue in full force and effect.

14) Third-party content and links

Links to third-party websites or services are provided for convenience only; we do not control or endorse those resources and are not responsible for their content, practices or any damages arising from their use.

15) Governing law and jurisdiction

The Terms and your use of the Services are governed by Italian law. Any dispute shall be submitted to the exclusive jurisdiction of the competent courts of Rome (Italy). Quantaste reserves the right to seek relief before any competent court to enforce its intellectual property rights.

16) General provisions

16.1. Severability – Blue-pencil. If any provision is void or unenforceable, it shall be interpreted or limited to the minimum extent necessary to make it valid ("blue-pencil"), without invalidating the remainder of the Terms.

16.2. No waiver. Failure or delay in exercising a right does not constitute a waiver.

16.3. Entire agreement. The Terms (including the Privacy Policy and any incorporated notices or conditions) constitute the entire agreement between you and Quantaste and supersede any prior understandings or agreements.

16.4. Assignment. You may not assign or transfer the Terms (or the rights provided therein) without Quantaste's written consent; Quantaste may assign the Terms in connection with a corporate reorganisation, merger, business transfer or similar transaction.

16.5. Language. The Italian version of the Terms is the reference version.

16.6. Cookies and tracking. Use of the site may require cookies or similar technologies; some features may not function with cookies disabled.

The provisions on absence of advice, "as-is" delivery, limitations of liability and exclusive remedy are aligned with the Legal Notice and the practical guide already in use (Smart Quant, overviews and dashboards for informational purposes only, no warranty of accuracy or currency, no advice, risk borne by the User).
